BBS Law Completes Trio of EOT Transactions, Highlighting Employee Ownership Expertise

The BBS Law corporate team is pleased to have completed a trio of EOT (employee ownership trust) transactions. 

An EOT is an ownership structure for private companies where companies are owned for the benefit of their employees which enables the incentivisation and engagement of employees and provides the benefits of employee ownership not just for the employees and the business but also for the wider company. It also offers significant tax advantages both to the employees and to existing shareholders.

The BBS corporate team have established a particular specialism in EOT transactions and have now completed more than 25 deals involving employee ownership trusts.

Most recently, the team have acted on the following EOT transactions:

• Sale of PLCS Holdings Limited, the parent company of Press Leakage Control Services which has over 40 years’ experience providing pipeline corrosion protection and pipeline leakage control to the gas, water and other utilities industries, to an EOT. We were instructed on this transaction following an introduction by the company’s accountants based on our expertise in this area. Following completion of the sale, Dov Black now acts as independent director of the EOT trustee company. 

• Sale of The Wonderful Creative Agency Limited, a creative digital agency working with ambitious global brands to create human-first digital experiences, to an employee ownership trust. The sellers instructed us on the transaction on the basis of our experience with EOT deals.

• Sale of Collaborate London Limited, specialist office furniture consultants, to an EOT. We were instructed on this deal following an introduction from a client who we had previously acted for on an EOT transaction. Following the successful completion of the deal, Dov Black now sits as independent director on the EOT trustee company board.
